Terms and conditions

1. ORDER CONFIRMATION

Upon submission of the order, it is binding. A final agreement for the sale and delivery of goods has been concluded when JYDSK STOFLAGER sends a written confirmation of the order or, if no such document is sent,

when Jydsk Stoflager ships the goods or the first installment of the goods.

If unforeseen difficulties arise or if

unsatisfactory credit information about Customer is obtained after the order has been accepted, Jydsk Stoflager is entitled to cancel the confirmed order or demand delivery of a sufficient bank guarantee. Customer can only cancel the confirmed order by written acceptance from Jydsk Stoflager.

2.GOODS

The product will have the pattern and color specified in the order confirmation or as agreed. Jydsk Stoflager is not responsible for less commercial, acceptable

errors/variations in the delivered quantity, product specification, color or other design features, and no minor variation in the product gives Customer the right to reject the goods. If Customer approves a sample delivered by Jydsk Stoflager, Customer is not entitled to reject the delivered goods in relation to this. It is the Customer’s duty to approve the goods and test that the product lives up to the expected purpose for which the chosen product is intended.

3.TERMS OF DELIVERY

The goods are delivered in accordance with Jydsk Stoflager’s terms of delivery unless otherwise specifically agreed and stated in the order confirmation. Jydsk Stoflager may, depending on the given circumstance, assist in arranging shipment of the ordered goods if this is agreed in writing and accepted by Jydsk Stoflager.

4. DELIVERY TIME AND DELAY

When the order confirmation is sent, the delivery time will be stated. Jydsk Stoflager will make every reasonable effort to deliver the goods within the delivery dates we quote. However, occasional delays may occur, and therefore the delivery time is only an estimate and is not a guarantee that the goods will arrive on the quoted date. If delivery is not fulfilled within fourteen (14) days from the stated delivery date, the delivery can only be considered delayed if Customer has submitted a written reminder within 7 days from Jydsk Stoflager’s written reminder. In case of force majeure, cf. the provisions below, delivery may be postponed until the obstacles cease and ordinary trade and transportation becomes possible again.

5.NON-PAYMENT

Jydsk stoflager reserves ownership of the delivered goods until full payment is paid by the customer. All costs incurred in connection with the enforcement of the collection will be paid by the customer.

6.PRICES

Prices are shown on the order confirmation

the statement or invoice and are exclusive of VAT. The Customer is free to set his/her resale prices.

7.PAYMENT

Unless otherwise agreed in writing, payment from Customer to Jydsk Stoflager shall be made in accordance with the relevant invoice. A standard interest of 2% per month will be charged after the due date in case of non-payment. Jydsk Stoflager may postpone the delivery of an order or cancel the order, by written notice, and without incurring any liability for this, if Customer is in arrears with payment for previously delivered shipments. Any financial loss, including financial loss of profit, incurred by Jydsk Stoflager as a result thereof shall be compensated by Customer.

8. COMPLAINTS ABOUT NON-CONFORMITIES AND REMEDIES

When Customer receives the goods, Customer shall immediately inspect them and inform Jydsk Stoflager of defects in writing. The written complaint must not be received later than 5 days after delivery or – if delayed – expected arrival of the goods. In case of non-visible defects or damage, the written complaint must be received no later than 5 days after the defect could have occurred and no later than one month after the delivery date. If part of the order is not delivered or if only part of the item is damaged, the order will only be canceled for this part. Any complaint must be specific, documented and contain a precise specification of the damage. No returns will be accepted without prior written acceptance from Jydsk Stoflager. No complaints will be accepted where the item has been cut or otherwise used.

9.RIGHT TO CANCEL

If Jydsk Stoflager is unable to deliver any of the ordered goods for good cause beyond Jydsk Stoflager’s control, which includes but is not limited to the situation where the goods cannot be obtained from our suppliers or meet the expected delivery date, Jydsk Stoflager is entitled to cancel the order. Customer cannot cancel the order without mutual consent.

10. RETURN OF GOODS

a. Jydsk Stoflager only covers the return of goods if a complaint about damage to the goods has been filed within 8 days and has been accepted by Jydsk Stoflager.

b. If the product is not damaged or otherwise defective, there is no applicable right of withdrawal and the product can therefore not be returned, unless otherwise agreed in the case in question.

11.PRODUCT LIABILITY AND LIMITATION OF LIABILITY

Jydsk Stoflager will be liable for damages and injuries resulting from Jydsk Stoflager’s handling of the goods. Regardless of the above, Jydsk Stoflager is not liable for direct or indirect loss of the company’s losses, lost financial profit, damage to goodwill, or other consequences, including third party losses.

12 .USE OF PRODUCT IMAGES

Product images belonging to the Company may only be used by the Customer for marketing and sales of the fabric once the fabric has been ordered and paid for. The Customer may not resell or disclose the product images to third parties without prior written permission from the Company.

  • It is therefore not permitted to use Jydsk Stoflager’s product images for purposes such as pre-ordering or marketing of our products, unless a binding order has been placed via our webshop.
  • Any unauthorized use of our product images, including but not limited to posting on social media, blogs or other online platforms, without a confirmed and binding order from our webshop, will be considered a violation of these terms and may result in legal consequences.

We encourage our customers to act in accordance with these terms to maintain fair and ethical business practices.

13 .SELLING OUR PRODUCTS

We encourage our resellers to follow our suggested retail prices on our fabric as this will help ensure consistent pricing of our products across different resellers and thus create a more stable market price for our products. We recommend that retailers take our suggested retail prices into account when pricing their own products, but it is up to each retailer to determine their own price level.
